Summary of the role

The Senior Legal Counsel & Legal Manager will provide legal counsel for all Diligenta Operations, Corporate and Commercial areas to identify legal/privacy risks and threats, review and/or draft legal agreements and supervise and manage lawyers and junior staff members in the Diligenta legal team..
Provision of comprehensive across-the-board advice to the operational departments and to support the Commercial Director  and Company Secretary.

What you’ll be doing
  • Provide first line expert legal advice across the organisation and to communicate to Head of Commercial, Company Secretary, Project Management and Operational Technical. Identify, update and report on key legal risks and legal threats facing the company and its clients. Deliver legal advice to Diligenta senior leadership teams and Senior Commercial Managers on legal risk appetite and best practice legal strategy
  • Provide specialised legal advice on all operational life and pensions law, including contract, commercial, insurance, pensions, trusts, assignments, family, testate and intestate succession as they apply to a Life and Pensions Administration business
  • Lead Counsel and Principal lawyer in providing specialised legal advice on 3rd party supplier matters particularly high level and high value strategic IT and non-It procurement matters. Responsible for drafting and negotiation of SaaS agreements, licences, NDA’s, vendor agreements, letters of engagements and other tech commercial agreements across the business units including advising on SLAs to ensure favourable commercial terms and legal results for Diligenta
  • Responsible for advising on Data Protection UK GDPR matters including drafting and review of complex Data Processing Agreements to ensure regulatory compliance including raising queries on any cross-border or international data transfers
  • Lead Legal Counsel and Principal lawyer in dealing with commercial property lease and real estate matters relating to company sites across the UK including leases, licences and tenancy agreements. Liaising with and acting as the key legal stakeholder with facilities teams and other departments within the company as well as representing the company externally
  • Provide review and approval of various client, supplier and company product literature, communications, procurement and commercial contracts. Assist with the preparation of and revision of company policies and procedures. Management of legal template agreements to ensure efficiency in legal operations
  • Provide legal advice on designated projects and on corporate bid and acquisition activity to add value to business operations and ensure strategic delivery including drafting of client contracts, master service agreements, outsourcing agreements. Drafting and reviewing of SOWs, CRNs, CCNs, subcontractor agreements
  • Management and training of junior legal staff. Implementation and development of the Diligenta in-house legal training programme, signing off on any applicable work experience to ensure trainees and junior members are able to progress with their SQE qualifications helping Diligenta to achieve an independent cross-functional legal team with top-tier legal expertise
  • Instruct and liaise with external legal advisors where necessary and management of outsourced legal work.
What we’re looking for
  • 10+ years PQE professional legal qualifications aligned with practical professional experience and professional certification
  • Accredited barrister or solicitor qualified essential
